Incorporation of a Company
- Creation, together with the appointed Notary, of Articles of Incorporation and By-laws;
- Contact with the bank appointed by the Customer, in order to fulfil the payment of 25% of the Stock Capital (required for the incorporation);
- Draft of Board of Directors (BOD) minutes, in order to appoint the offices and to grant the powers;
- Request of Fiscal Tax Number for Directors residents abroad;
- Request of Fiscal Code and VAT number for the new Company;
- Evaluation expertise (section 2465 Civil Code), for incorporation with underwriting of assets.

- Company books keeping and update;
- Check and update of the Company requirements;
- Drafting, drawing up and deposit of the Financials;
- Drafting and drawing up of BOD and Stockholders’s Meetings minutes;
- Drafting, together with the Notary, of extraordinary meetings minutes;

Fiscal Advice
- Preparation, drawing up, and electronic annual VAT data interchange;
- Preparation, drawing up, and electronic Income Taxes return data interchange (Unico Form);

- Communication of VAT data variation to the “VAT Agency”;
- Advice on all fiscal issues of the Company, about both the direct taxes (IRES and IRAP) and the indirect ones (VAT);
- Check of the income-tax levy;
- Assistance in front of the Fiscal Commitee and Tax Offices.
Administrative Advice
- Drafting of a basic organization chart and detailed job descriptions;
- Cost centres and reporting procedure;
- Budgeting and management control (shifting and correction);
- Management, with special power of attorney granted to Mr. Carlo Rottigni, of operational relationship with banking companies (bank transfers to suppliers, also through home banking systems, payroll payments, fiscal payments, etc.).

- Data processing, both with traditional systems, supported by hard copy Documents and with electronic data interchanges (software “Bridge Buffetti” and connection through e-mail);
- Periodical check of VAT summaries and related payment amounts;
- Drafting F24 form (VAT and withholding taxes payment);
- Update and print of VAT books and Journal ledgers;
- Drawing up of monthly Trial Balances;
- Drawing up of monthly reports, according to the Intercompany procedures.
Chamber of Trade Registry
- Request of “Smart Cards” (digital signature);
- Deposit of Financials and Company Acts;
- Request of Certificates of Incorporation (preliminary enquiries and historical ones).
Administrative Personnel Training
- Opportunity, for new employed personnel or consequently to new fiscal Laws, to attend seminars, both at our offices and at customers’ offices.
Strategic Partnerships with other Consultants
- With Labour Consultant: mutual data communication and required documentations sending;
- With Lawyer: documentation and required information sending;
- With Notary: delivery of required documentation and request of Notary Acts (anticipated by e-mail).
